How do you convert an mp4 VIDEO to mp3 AUDIO?

How do I convert mp3 video to mp4 so I can upload videos taken with digital camera to my Instincs30 phone?

what i do now adays becuase i used to be in your position. Well recently i downloaded this thing called youtube downloader and its pretty cool you can download any youtube video for free and the software is tottally free. But there is also a bubble saying convert video then select what type of video you want converted. And it is meant for converting youtube videos which is FLV but you canc convert any type. I have been torrenting and now i can download .avi videos becuase they can be converted to my zune
