    No it wont because the motherboard you has a 400mhz fsb and the processor your intending to use has an 800mhz fsb........if you want to use that cpu then upgrade your motherboard. btw 478 motherboards are becoming hard to find

What is your motherboard? You are only telling us about your old CPU. However, from the looks of it, it is unlikely that the new CPU will work. Your old CUP is a 400 FSB ( and an old one at that) any motherboard that came with it is unlikely to support the 800 FSB needed by the new CPU. If, however, it was a custom build on more motherboard than the original CPU needed, it may be possible. Identify the board specifically.

Yes it would. Same socket means compatibility.

I think there is way too much info on here all u hav to do is u hav to see if the motherboard supports that type of CPU and see if the motherboard can handle it
