On my computer a display comes stating "YOU MAY BE VICTIM OF SOFTWARE COUNTERFEITING". Background color of the desktop becomes black. When I change the color in Appearance, the color stays for some time but gets removed again.

This means that Windows doesn't like the license key you used to install it. If you didn't buy the key originally, the legal remedy would be to purchase one from Microsoft and follow their instructions to update it. Another option would be to obtain a "corporate" version of XP and perform a repair install to overwrite the existing installation. The corporate version has no activation nor nag screen activity like you see with the normal version.
