I had an co-founder who is leaving my start-up but he is going to start another one with the similar idea or business. i gave an NDA with all mentioned details that he cant disclose all details which was part of company, but he says he cannot sign it and want even more briefly on every detail of the ideas or product strategy, design which was initiated by me and him in the ratio of 9:1. what to do now and the start-up is from India. i told to come up with a list of all contribution from his side so i can come up with my contribution again he says he don't remember everything which happened in the span of 2 years. i am feeling helpless and this is teaching me a lesson in entrepreneurship. my start-up is into hardware (electronics) so many new ideas in design, product labeling, documentation, new products such as kits for education was my ideas but as he was an co-founder he was also aware of all my ideas now this has turned out to be my problem. please tell me what to do.

Any one can copy your idea! Not your vision! Only 10% of success is in idea. A large chunk of it is in how you execute it. The moment you worry about these unethical scarecrows, thats first nail in the coffin. Thoughts can be shared, not dreams! Go ahead! What if some one better than this guy started with a similar initiative with out your knowledge? You shall take this in that way! All the best. Go ahead. Never stop dreaming just because you just see some one sleeping before you!

What about your patents for your products? Are they in your company's name? If so he cannot copy your ideas. Also if he insists on leaving you can put in as a condition his resignation that he needs to sign the NDA. You dissolving your partnership needs to be approved by both of you. And in that case you can add this condition. Consult a good lawyer.
