What is a legal business address when a company has no permanent location, can it be a PO box in a different state from the state in which you are incorporated, and how does that impact taxes?
-
I have no permanent physical address. My company is a Delaware LLC. I have a remote mailing address - it's a non-street address in SF, and the mail gets scanned and emailed to me. The company distributes a food product to national grocery stores. I do not live in California and the food is not manufactured in California. I use the SF mailing address as my company address on the food product label "Distributed by My LLC, [address]." Can the SF mailing address be my legal business address? Do I have to pay income taxes in the state where the company was formed or the state in which my address is? Am I "doing business" in CA if my address is there and some of the stores that carry my product are there, but I have neither employees nor buildings there?

Answer:
Under brazilian law - which most likelly is just like in the US - if you set up a company you must provide a permanent adress, even you dont work there. And you will be taxed by the town hall

I can answer your question regarding U.S. Food and Drug Administration (FDA) regulations. FDA requires registration for specific facilities, not companies. FDA's requirement is that all facilities, domestic or foreign, engaged in manufacturing, processing, packing or storing food products intended for consumption in the United States must register (21 CFR 1.225(2)). Because your company does not do these activities in California, you don't need to register any facility in CA. The facility where the food you distribute is stored does need to be registered with FDA. You can list a separate physical and mailing address on an FDA registration. If you are the one to register the facility where the food is stored, you can list your remote non-street address as your mailing address and all mail received from FDA will be sent there. Registrar Corp (http://www.registrarcorp.com) can help you register a facility with FDA. If you have any more questions regarding FDA regulations for food facilities, contact Registrar Corp at +1-757-224-0177 or chat with a Regulatory Advisor 24-hours a day at http://www.registrarcorp.com/LiveHelp.
