Can I trade under a name which is different from my business name?

Will registering a trade name cause problems if I decide to create a separate business later?

  • I own and operate a one-person consulting company and I'm working on a new SaaS business. I don't want to invest in incorporation until I'm more confident. The new business has a name and registered domain that are completely distinct from my consulting company. I'm thinking of registering the name of the new business as a trade name (DBA or "doing business as") of my existing business, which is simple and low cost. Then, if I attract customers, I'll incorporate with the new name and drop the trade name. Will this cause problems?

Creating an LLC or S Corp is a ~$100 investment, and not that much more work than registering a DBA...assuming you create a cookie cutter entity for the sake of separating business activities, that is.  I would personally keep the activities and assets separate, if for no other reason, than liability and taxes.

The most serious problem (not sure how likely it is to arise) would be a financial disaster for one business taking down the other business because the businesses are not conducted by separate legal entities.This answer is not a substitute for professional legal advice....
